1. LEGAL STATUS OF THIS DOCUMENT

This document is an electronic record in terms of the Information Technology Act, 2000 and rules made thereunder, including applicable amendments relating to electronic records. This electronic record is generated by a computer system and does not require physical or digital signatures.

These Terms are published in compliance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

2. PLATFORM DETAILS

The domain name www.bharatbusinessnetworks.com (hereinafter referred to as the "Platform") is owned and operated by BRIXTON & Co Consulting, having its registered office at No. 235, 2nd Floor, Binnamangala, 13th Cross Road, Bengaluru – 560038, Karnataka, India (hereinafter referred to as "Company", "Platform Owner", "we", "us", or "our").

3. ACCEPTANCE OF TERMS

By accessing, browsing, registering, subscribing, or otherwise using the Platform or any services provided therein ("Services"), you agree to be legally bound by these Terms & Conditions ("Terms").

If you do not agree, you must not use the Platform.

4. NATURE OF SERVICES

Bharat Business Networks provides a business ecosystem platform that may include:

• Business profile listings
• Credibility badge & verification indicators
• Business leads facilitation
• Marketplace visibility
• Networking & social engagement tools
• AI-enabled business tools (where applicable)
• Subscription-based digital access services

The Company reserves the right to modify, suspend, or discontinue any feature at its sole discretion.

5. ELIGIBILITY

You represent and warrant that:

• You are legally competent to enter into contracts under Indian law.
• If registering on behalf of an entity, you are authorized to bind that entity.
• All information provided is accurate and lawful.

6. USER ACCOUNT RESPONSIBILITY

You agree to:

• Provide true, accurate, and complete information.
• Maintain confidentiality of login credentials.
• Be fully responsible for all activities under your account.

The Company reserves the right to suspend or terminate accounts for false information, misuse, fraud, non-payment, or policy violations.

7. SUBSCRIPTION, FEES & PAYMENT

7.1 Paid Services

Certain Services are available on a subscription basis (monthly, quarterly, annual, or custom).

7.2 Payment Terms

You agree to pay all applicable fees displayed at the time of purchase.

7.3 Auto-Renewal

Subscriptions may auto-renew unless cancelled before the renewal date.

7.4 Refund Policy

Unless otherwise stated in writing:

• Subscription fees are non-refundable.
• No refunds shall be provided for partial usage.
• No refunds shall be granted for dissatisfaction relating to business outcomes, lead conversion, or visibility.

7.5 Non-Payment

Failure to pay may result in immediate suspension or termination without liability.

7.6 EMI (Equated Monthly Instalment) Payment Option

The Platform may offer Equated Monthly Instalment ("EMI") payment options through authorized third-party payment gateway providers and financial institutions.

7.6.1 Nature of Transaction

The Services provided by Bharat Business Networks are subscription-based digital access services that grant users access to:

• Business credibility features
• Business listing and marketplace visibility
• Lead facilitation tools
• Networking and engagement dashboard
• AI-enabled SaaS tools (where applicable)

Users opting for EMI acknowledge that they are purchasing access to digital subscription services and not physical goods.

7.6.2 Third-Party Financing

EMI options are provided by third-party banks, NBFCs, or payment processors.

• Approval of EMI is solely at the discretion of the financial institution.
• The Company does not influence or control EMI approval decisions.
• Interest rates, processing fees, foreclosure charges, or penalties are governed by the lender's terms.
• The Company shall not be liable for any dispute between the user and the financing institution.

7.6.3 No Refund on Financed Transactions

Where subscription fees are paid through EMI:

• The transaction shall be treated as a full payment to the Company at the time of successful authorization.
• Refunds, if applicable under Company policy, shall be processed in accordance with payment gateway rules.
• Cancellation of subscription does not automatically cancel EMI obligations.
• Users remain liable to the lender for repayment as per financing agreement.

7.6.4 RBI & Digital Lending Compliance

Users acknowledge that:

• EMI financing is governed by RBI regulations applicable to banks/NBFCs.
• The Company is not a lending institution.
• The Company does not charge interest or act as a credit provider.
• The Company merely facilitates digital payment collection.

7.6.5 Business Use Disclosure (Important for RBI Compliance)

The Services offered by Bharat Business Networks are intended for business, professional, and commercial use.

Subscription access enables:

• Business profile visibility
• B2B networking
• Lead discovery tools
• Business credibility enhancement
• Digital marketplace participation

Users confirm that the subscription is for legitimate business or professional purposes.

7.6.6 Chargeback & Dispute Policy

Users agree not to initiate chargebacks without first contacting the Company for resolution.

Fraudulent or unjustified chargebacks may result in:

• Immediate suspension of account
• Permanent termination
• Legal recovery proceedings

8. NO GUARANTEE OF RESULTS

You acknowledge and agree:

• The Platform does NOT guarantee business revenue, deal closure, partnership success, or commercial gains.
• Leads provided are facilitative in nature and not guaranteed to convert.
• The Company does not guarantee accuracy, quality, intent, or commercial viability of leads.
• Business visibility does not ensure engagement or sales.

9. CREDIBILITY BADGE DISCLAIMER

Any badge, verification mark, ranking, or indicator provided by the Platform:

• Is based on internal evaluation parameters.
• Does NOT constitute government certification.
• Does NOT constitute legal validation.
• Does NOT constitute financial endorsement.
• Does NOT guarantee business legitimacy beyond the Platform's review criteria.

Misuse of the badge outside permitted scope may result in termination and legal action.

10. MARKETPLACE & USER INTERACTIONS

The Platform acts only as an intermediary.

• The Company is NOT a party to contracts between users.
• The Company does not guarantee performance of any user.
• Any transaction between users is at their sole risk.
• The Company shall not be liable for disputes, losses, fraud, or contractual failures between users.

11. USER-GENERATED CONTENT

You may post business information, content, comments, or materials ("User Content").

You represent that:

• You own or have rights to such content.
• It does not violate any law or third-party rights.
• It is not misleading, defamatory, fraudulent, or unlawful.

The Company reserves the right to remove, edit, restrict, or delete any content at its discretion without notice.

12. PROHIBITED ACTIVITIES

Users shall not:

• Post false or misleading information.
• Impersonate individuals or entities
• Engage in spam or unsolicited promotions.
• Misuse credibility badges.
• Violate intellectual property rights.
• Use the Platform for illegal activities.
• Attempt to reverse-engineer or hack the system.

Violation may result in suspension, termination, and legal action.

13. INTELLECTUAL PROPERTY

All Platform content including:

• Logos
• Design
• Software
• Layout
• Databases
• AI tools
• Branding elements

Are owned or licensed by the Company.

No rights are granted except limited, non-transferable access for personal/business use under subscription.

14. DATA PROTECTION & PRIVACY

User data is processed in accordance with:

• The Digital Personal Data Protection Act, 2023 (India)
• Applicable IT laws
• Our Privacy Policy (incorporated by reference)

By using the Platform, you consent to collection and processing of data as described.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• The Company shall not be liable for indirect, incidental, special, consequential, or punitive damages.
• The Company shall not be liable for loss of profits, business, data, goodwill, or revenue.
• Total aggregate liability shall not exceed the amount paid by you to the Company in the preceding 3 months.

16. INDEMNIFICATION

You agree to indemnify and hold harmless the Company, its directors, officers, employees, and affiliates from any claims, damages, penalties, losses, or expenses arising from:

• Your misuse of the Platform
• Violation of these Terms
• Violation of laws
• Infringement of third-party rights

17. TERMINATION

The Company may suspend or terminate your access:

• For breach of Terms
• For non-payment
• For fraudulent activity
• For regulatory compliance
• At its discretion with reasonable cause

Upon termination, access to Services ceases immediately.

18. FORCE MAJEURE

The Company shall not be liable for delays or failure due to events beyond reasonable control, including but not limited to natural disasters, governmental actions, internet failures, cyberattacks, or force majeure events.

19. MODIFICATION OF TERMS

The Company reserves the right to update these Terms at any time. Continued use after updates constitutes acceptance.

20. DISPUTE RESOLUTION

20.1 Amicable Resolution

Parties shall first attempt to resolve disputes through good-faith discussions within 30 days.

20.2 Arbitration

If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

• Seat of arbitration: Bengaluru, Karnataka.
• Language: English.
• Arbitrator: Sole arbitrator appointed by the Company.

20.3 Jurisdiction

Subject to arbitration, courts at Bengaluru, Karnataka shall have exclusive jurisdiction.

21. NO PARTNERSHIP

Nothing in these Terms creates partnership, agency, employment, or joint venture between users and the Company.

22. SEVERABILITY

If any provision is held invalid, remaining provisions shall remain enforceable.

23. ENTIRE AGREEMENT

These Terms, along with Privacy Policy and applicable policies, constitute the entire agreement between you and the Company.
